5. Fees and Payment

5.2 Payment Terms

Payment terms will be specified in your engagement letter. Unless otherwise stated, fees are payable in Thai Baht (฿). We accept payment by bank transfer, check, or other methods as agreed.

5.3 Additional Costs

Our fees do not include government filing fees, official charges, or other third-party costs unless specifically stated in the engagement letter. These costs are billed separately and must be paid in addition to our professional fees.

6. Intellectual Property Rights

6.1 Website Content

All content on our website, including text, graphics, logos, and software, is the property of veritasasa or our licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our written permission.

6.2 Client Work Product

Documents and work product created for you as part of our services are provided for your use in connection with the matter for which they were prepared. You retain ownership of your information and materials provided to us, while we retain ownership of our methodologies, templates, and general legal knowledge.

10. Termination

You may terminate our services at any time by providing written notice. Upon termination, you remain responsible for payment of fees for services rendered prior to termination, plus reasonable costs incurred in connection with the termination.

10.2 Our Termination Rights

We may terminate our services if: you fail to pay fees when due, you fail to cooperate or provide necessary information, continuing the representation would violate professional obligations, or other good cause exists for termination.

10.3 Effects of Termination

Upon termination, we will provide you with your file materials and documents. We may retain copies of documents as required by professional regulations. Our confidentiality obligations continue after termination.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any disputes arising from our services shall be governed by the laws of Thailand. The courts of Bangkok, Thailand shall have exclusive jurisdiction over any disputes.

11.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt to resolve disputes through good faith negotiation. If you have concerns about our services, please contact our managing partner to discuss resolution.

11.3 Professional Complaints

Complaints about professional conduct may be filed with the Lawyers Council of Thailand in accordance with applicable professional regulations.

12. General Provisions

12.1 Entire Agreement

These Terms, together with any engagement letter, constitute the entire agreement between you and veritasasa regarding use of our website and services, superseding any prior agreements or understandings.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.

12.4 Assignment

For existing client engagements, changes to Terms will not affect the terms of your specific engagement letter unless mutually agreed.
